Terms of Use — TaskHawk

These Terms of Use ("Terms") govern your access to and use of TaskHawk ("TaskHawk" or the "App"). By accessing or using the App, you agree to these Terms.

1. Who we are

TaskHawk is operated by Orion GLE Ltd ("we", "us", "our"). Questions about these Terms can be sent to support@oriongle.co.uk.

2. Eligibility and authority

You must be at least 18, or have legal authority, to use TaskHawk for organisational or business workflows. If using TaskHawk for an organisation, you confirm you are authorised to act on its behalf.

3. Licence and permitted use

We grant a limited, non-exclusive, non-transferable, revocable licence to use TaskHawk in accordance with these Terms, your subscription/plan, and applicable app store terms.

4. Service scope and changes

TaskHawk features may evolve, especially in pre-release stages. We may modify, suspend, or discontinue elements of the service when reasonably necessary for technical, legal, or commercial reasons.

5. Account security

• You are responsible for safeguarding account credentials and all activity under your account.
• You must notify us promptly of suspected unauthorised access.
• We may apply security controls including forced password resets and account restrictions.

6. Acceptable use

You must not:

• Use the App unlawfully or in breach of third-party rights.
• Attempt to reverse engineer, interfere with, or bypass security controls.
• Upload malicious files or content that is unlawful, infringing, or harmful.
• Use the service in a way that could compromise availability, integrity, or confidentiality.

7. Customer content and responsibilities

You retain rights in your workflow data and uploads. You grant us a limited licence to process that content solely for service delivery, support, backup, and security operations.

You are responsible for ensuring you have rights and legal basis to submit and manage data through TaskHawk.

8. Intellectual property

TaskHawk software, design, interfaces, and branding are owned by Orion GLE Ltd or its licensors and protected by applicable intellectual property law.

9. Fees, billing, and suspension

Where paid plans apply, fees and billing are as agreed in your order or subscription. Overdue balances may result in suspension after reasonable notice.

10. Third-party services

TaskHawk may interoperate with third-party tools and infrastructure. We are not responsible for third-party services, which are subject to their own terms.

11. Warranties and disclaimers

To the fullest extent permitted by law, TaskHawk is provided "as is" and "as available" without warranties, including merchantability, fitness for purpose, non-infringement, and uninterrupted availability.

12. Limitation of liability

Nothing in these Terms excludes liability that cannot be excluded by law. Subject to that, we are not liable for indirect, consequential, special, or punitive losses, or for loss of profits, data, revenue, goodwill, or opportunity.

13. Indemnity

You agree to indemnify us against losses, claims, and costs arising from your unlawful use of TaskHawk, breach of these Terms, or infringement of third-party rights.

14. Termination

We may suspend or terminate access where these Terms are breached, security is at risk, or charges remain unpaid. You may stop using TaskHawk at any time, subject to any contractual minimum term.

15. Changes to terms

We may update these Terms periodically. Material changes will be communicated by reasonable means. Continued use after the effective date indicates acceptance.

16. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, unless mandatory consumer law provides otherwise.
